Distance Sales Agreement

This Distance Sales Agreement ("Agreement") has been established between the Seller, whose information is provided below, and the Buyer, in accordance with the Consumer Protection Law No. 6502 and the Distance Contracts Regulation, upon the Buyer's electronic acceptance.

2. Buyer Information

The Buyer is the natural or legal person placing an order through the PrecastX website. The Buyer's name/title, address, phone, email, and other contact information has been provided during the ordering process and constitutes an integral part of this Agreement. The Buyer acknowledges and undertakes that the information provided during the order is accurate.

3. Subject of the Agreement

The subject of this Agreement is to determine the rights and obligations of the parties regarding the sale and delivery of the products and/or services ordered electronically by the Buyer from the Seller's website precastx.com, with the characteristics described in this Agreement and the sales price specified herein, in accordance with the provisions of the Consumer Protection Law No. 6502 and the Distance Contracts Regulation. The Buyer declares that they have read and obtained information about the basic characteristics, sales price, payment method, and delivery conditions of the products and/or services subject to sale, and that they have provided the necessary electronic confirmation.

4. Product/Service Information

Information regarding the type, quantity, brand/model, color, number, sales price, and payment method of the products and/or services subject to the Agreement is provided below and/or on the order page: • The basic characteristics of the products (type, quantity, brand/model, and sales price including all taxes) are available on the Seller's website. The price announced on the website and stated in the order form on the date of sale is valid. • PrecastX temperature sensors (PX-Sens), gateway devices (PX-Base), and related platform access packages constitute the products and services subject to this Agreement. • Product images are for illustration purposes; actual products may vary slightly. • Listed prices include VAT unless otherwise stated.

5. Total Price and Payment Method

The total sales price (including all taxes), shipping/delivery costs, and payment method of the products and/or services are displayed to the Buyer on the order summary page. • All prices are in Turkish Lira (TRY). • Payment can be made via Visa and Mastercard branded credit cards, debit cards, or bank transfer/EFT. • Credit card and debit card payments are processed through the iyzico secure payment infrastructure with 256-bit SSL/TLS encryption. Credit card information is not stored by the Seller. • For bank transfer/EFT payments, the order is confirmed upon receipt of payment in the Seller's account. • For installment sales, the installment plan and total amount are specified on the order summary page. Whether interest applies to installment sales depends on the relevant bank's policies. • The Seller reserves the right to change prices before order confirmation; however, changes do not affect previously confirmed orders.

6. Delivery Terms

Delivery will be made to the address specified by the Buyer in the order form. • Products will be delivered within a maximum of 30 (thirty) days from the date the order confirmation is notified to the Buyer via email. • Delivery is made through contracted cargo companies. • For orders within Turkey, shipping costs are covered by the Seller unless otherwise stated during the order process. • The Buyer is obligated to inspect the products at the time of delivery and to verify that the products are undamaged by opening the packaging in the presence of the cargo officer. In case of damage or deficiency, a report must be prepared and the Seller must be notified immediately. • The Seller cannot be held responsible for delays caused by incorrect or incomplete delivery address information provided by the Buyer. • Subject to force majeure events, if the Seller fails to fulfill its obligation within 30 days, the Buyer may terminate the Agreement.

7. Right of Withdrawal

The Buyer has the right to withdraw from the Agreement within 14 (fourteen) days from the delivery date of the product to the Buyer or the person/organization at the address indicated by the Buyer, without providing any reason and without paying any penalty. To exercise the right of withdrawal, it is sufficient to notify the Seller via email at sumer682003@yahoo.com or in writing (letter, fax) within this period. In case of withdrawal: • The Buyer is obligated to return the product complete and undamaged, together with its box, packaging, and standard accessories. • Return shipping costs are borne by the Buyer. • The Seller will refund the total amount and all documents that put the Buyer under obligation within 14 (fourteen) days from the date the withdrawal notification reaches the Seller. • The refund will be made in a manner appropriate to the payment instrument used by the Buyer when purchasing the product, in a single payment without creating any cost or obligation for the Buyer. • The refund will be completed within a maximum of 14 days after the product reaches the Seller.

8. Exceptions to the Right of Withdrawal

The Buyer cannot exercise the right of withdrawal in the following cases: • Goods or services whose prices fluctuate depending on financial market conditions beyond the Seller's control. • Products prepared, customized, or personalized according to the Buyer's requests or personal needs. • Products that may spoil quickly or whose expiration date may pass. • Products whose protective elements (packaging, tape, seal, package) have been opened after delivery and which are not suitable for return due to health and hygiene reasons. • Products that have been mixed with other products after delivery and cannot be separated by nature. • Digital content and platform access services provided under a subscription agreement where performance has commenced during the withdrawal period (provided the Buyer has waived the right of withdrawal with prior consent). • Periodical publications such as newspapers and magazines. • Services related to accommodation, goods transport, car rental, food and beverage supply, and leisure activities that must be performed on a specific date or period.

9. Default and Legal Consequences

In cases where the Buyer makes payment by credit card and defaults, the Buyer acknowledges and undertakes that they will pay interest and be liable to the bank within the framework of the credit card agreement between the cardholder and the bank. For bank transfer/EFT payments, if payment is not received within 7 (seven) days from the order date, the order shall be deemed cancelled. If the Buyer fails to make payment or if payment is declined by the bank, the Seller's performance obligation is suspended. The Buyer is responsible for all costs arising from payment default.

10. Warranty Terms

For products subject to this Agreement: • All PrecastX sensors and gateway devices come with a 2 (two) year manufacturer warranty covering defects in materials and workmanship. • The warranty period begins from the delivery date of the product to the Buyer. • Products that malfunction within the warranty scope will be repaired or replaced free of charge. • The warranty does not cover damage resulting from improper use, unauthorized intervention, use contrary to the user manual, use in unsuitable environmental conditions (water/dust exposure beyond the protection rating, etc.), or normal wear and tear. • Consumer's legal rights regarding defective goods and services under Law No. 6502 are reserved. Legal warranty periods apply independently of the manufacturer warranty. • Platform access services are provided for the duration specified in the purchased package.

11. Dispute Resolution

For disputes arising from this Agreement: • For disputes up to the value announced by the Ministry of Trade, Provincial or District Consumer Arbitration Committees at the Buyer's place of residence or where the consumer transaction was made are authorized. • For disputes exceeding this value, Consumer Courts are authorized. • Applicable law is Turkish Law. • Ankara Courts and Enforcement Offices are designated as the authorized courts. The Buyer agrees to seek amicable resolution by first notifying the dispute in writing to the Seller at sumer682003@yahoo.com.

12. Effectiveness and Acceptance

The Buyer acknowledges and undertakes that before placing the order, they have read this Agreement, the Preliminary Information Form, the basic characteristics of the ordered products, the price, and the payment and delivery information, and that they are informed and have provided the necessary confirmation electronically. This Agreement has been established upon the Buyer's electronic confirmation and placement of the order, and shall have binding provisions and consequences for the parties. A copy of the Agreement will be sent to the Buyer's registered email address. This Agreement consists of 12 (twelve) articles and represents a complete and full agreement between the parties.
